Mandatory Requirements

Company Name

Unique name approved by ACRA. Must not be identical or similar to existing companies. Can be reserved for 120 days (S$15 fee).

Minimum one director who is:

  • • Singapore Citizen, OR
  • • Singapore Permanent Resident, OR
  • • Employment Pass / EntrePass holder

Foreigners without residency: Nominee Director service required

Can be an individual or corporate entity. 100% foreign ownership allowed. Maximum 50 shareholders.

Registered Office Address

Must be a physical Singapore address (not P.O. Box). Must be accessible during business hours. Can use virtual office service.

Company Secretary

Must appoint within 6 months of incorporation. Must be a natural person residing in Singapore.

Minimum S$1 (no maximum). No need to deposit in bank before incorporation. Can increase anytime.
